Service Agreement

Grey Sky Graphics Social Media Services

This Service Agreement applies when a client purchases or subscribes to a Grey Sky Graphics social media package or standalone service.

By purchasing, subscribing, or approving a service, the client agrees to the terms below.

1. Parties

This Agreement is between:

Service Provider: Grey Sky Graphics Studio
Client: The person, business, or organization purchasing the service.

2. Scope of Services

Grey Sky Graphics agrees to provide the services selected by the client at the time of purchase or as confirmed in writing.

Services may include, depending on the selected package:

  • Social media strategy
  • Content calendar
  • Social media posts
  • Stories
  • Short-form videos
  • Content design
  • Copywriting
  • Email marketing
  • UGC-style videos
  • Brand lifestyle or promotional videos
  • Ads support
  • SEO support
  • Scheduling support
  • Reporting
  • Project management

Only the services listed in the selected package, proposal, invoice, or written confirmation are included.

Additional requests may require a separate quote.

3. Billing Structure

Monthly Packages

Monthly packages may be billed:

  • Month to month
  • Annually, when available

The selected billing option will be confirmed before the service begins.

Standalone Services

Standalone services are billed month to month and continue until canceled.

Examples of standalone services may include:

  • Email Marketing
  • Short-Form Video
  • UGC Videos
  • Brand Lifestyle / Promo Video
  • Content Design
  • Ads Support
  • SEO Support

4. Payment Terms

Payment is due before work begins unless otherwise agreed in writing.

If payment is late, failed, or incomplete, Grey Sky Graphics may pause the service until payment is resolved.

The client is responsible for keeping payment information updated.

5. Cancellation Terms

Month-to-month services may be canceled before the next billing cycle.

Standalone services continue monthly until canceled.

Cancellation must be requested in writing.

Cancellation does not refund the current billing cycle if work has already started, been planned, delivered, scheduled, or reserved.

Annual plans may be subject to the terms agreed at the time of purchase.

6. Refunds

Payments are non-refundable once onboarding, planning, strategy, design, copywriting, editing, production, or project coordination has started.

If the client requests cancellation before work begins, they may request a refund review within 48 hours of payment.

Refund approval is at the discretion of Grey Sky Graphics and depends on whether time, resources, planning, or production have already been allocated.

7. Client Onboarding

The client agrees to complete onboarding and provide all required information, including but not limited to:

  • Brand guidelines
  • Logo files
  • Photos or videos
  • Social media handles
  • Website URL
  • Product or service information
  • Target audience
  • Content goals
  • Access to relevant platforms
  • Any required approvals or references

Work may not begin until onboarding is complete.

8. Project Manager

Each client will communicate through an assigned Project Manager.

The Project Manager will be responsible for guiding the process, organizing deliverables, collecting feedback, confirming approvals, and communicating next steps.

This allows communication to remain centralized, clear, and consistent throughout the service.

9. Client Feedback and Approval

The client agrees to review deliverables and provide feedback within the requested timeframe.

Delayed feedback may delay the project timeline.

If the client does not respond within a reasonable time, Grey Sky Graphics may pause work until feedback or approval is received.

10. Revisions

Revisions are included only as stated in the selected package or service.

Revisions must relate to the original scope of work.

Requests that change the direction, format, platform, content type, campaign, or deliverable may be considered additional work and may require a new quote.

11. Delivery Timeline

Most first deliverables are prepared within 10 business days after onboarding is complete and all required materials have been received.

Some services may require more time depending on production, complexity, approvals, or third-party platform requirements.

Grey Sky Graphics is not responsible for delays caused by late client feedback, missing assets, lack of access, or third-party platform issues.

12. Publishing and Scheduling

If scheduling or publishing is included in the selected package, Grey Sky Graphics may prepare content for publication after client approval.

No content will be published without approval unless the client has given written authorization for pre-approved publishing.

The client is responsible for maintaining access to their social media accounts and platforms.

13. Ownership and Usage Rights

After full payment is received, the client may use the final approved deliverables for their business and marketing purposes.

Grey Sky Graphics retains ownership of unused concepts, drafts, internal working files, templates, methods, systems, and creative process materials.

Editable source files are not included unless specifically stated in writing.


14. Client-Provided Materials

The client confirms that they own or have permission to use all materials provided to Grey Sky Graphics.

This includes logos, fonts, images, videos, music, copy, trademarks, product claims, testimonials, and any other creative or business materials.

The client agrees to hold Grey Sky Graphics harmless from claims related to unauthorized materials provided by the client.

15. Third-Party Costs

The client is responsible for any third-party costs not included in the selected service.

This may include:

  • Ad spend
  • Stock images or videos
  • Fonts
  • Music licenses
  • Platform subscriptions
  • Email marketing software fees
  • Website plugins
  • SEO tools
  • Creator fees
  • Paid scheduling tools

Grey Sky Graphics will notify the client when third-party costs may be required.

16. Performance Disclaimer

Grey Sky Graphics provides creative, strategic, and digital support but does not guarantee specific business outcomes.

We do not guarantee:

  • Sales
  • Leads
  • Followers
  • Engagement rates
  • Viral content
  • Ad performance
  • Search rankings
  • Revenue growth
  • Platform approval

Results depend on many factors outside our control.

17. Confidentiality

Grey Sky Graphics agrees to treat sensitive client information with care.

The client also agrees not to share private pricing, internal processes, proposals, strategy documents, or project materials created by Grey Sky Graphics with third parties without permission.

18. Portfolio Rights

Grey Sky Graphics may showcase completed work in its portfolio, website, social media, proposals, or case studies unless the client requests confidentiality in writing before the project begins.

Confidential or white-label work must be discussed and agreed in writing.

19. Termination

Either party may terminate the service according to the cancellation terms.

Grey Sky Graphics may terminate the agreement if the client fails to pay, delays the project for an extended period, provides unlawful materials, behaves abusively, or requests work that violates platform rules, laws, or ethical standards.

20. Entire Agreement

This Service Agreement, together with the selected package, invoice, proposal, or written confirmation, represents the agreement between the client and Grey Sky Graphics.

Any changes must be confirmed in writing.
